Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by Propeller Global Ventures Pvt. Ltd. (“Propeller,” “we,” “us,” or “our”) through our website www.propalai.com and related services (collectively, the “Platform”).
1. Acceptance of Terms
By accessing or using the Platform or Services, you agree to be bound by these Terms, as well as our Privacy Policy. If using on behalf of a business, you confirm you have authority to bind the entity.
If you disagree with any part of these Terms, you must not use our Services.
2. Eligibility
By using the Services, you affirm that you are legally capable of entering into a binding agreement under applicable Indian laws. If you are accessing or using the Services on behalf of a company, organization, or other legal entity, you confirm that you have the necessary authority to do so, based on valid internal approvals and in accordance with that entity’s governing documents or statutory obligations.
You must not use or access the Services if you lack the legal capacity to contract, including where restrictions apply under Indian laws, rules, or regulations.
Individuals under the age of 18 are permitted to use the Services only with the active oversight and consent of a parent or legal guardian, who shall assume full responsibility for their use of the Services.
3. Our Services
a. Core Offering
Propeller provides an enterprise-grade platform for creating, deploying, and managing AI-powered voice agents, including telephony integration, campaign management, analytics, and customer interaction workflows.
b. Additional Services
We offer professional services such as custom AI development, integration support, compliance audits, and strategic consulting. These may be governed by separate agreements.
4. Account Management
4.1 User Registration and Access
To access certain features of our Services, you must create a user account on the Platform. By registering, you agree to provide accurate, up-to-date, and complete information, including your full legal name, a valid email address, and any other details we may reasonably request.
Upon successful registration, you will receive login credentials including a user ID and password, which you are solely responsible for securing and keeping confidential. You agree not to share your credentials with any third party and to log out of your account after each session.
You acknowledge that your ability to access your account depends on internet connectivity and service provider performance, which are beyond our control. We are not responsible for any losses or damage arising from access issues caused by such external factors.
4.2 License to Use the Services
Subject to compliance with these Terms, we grant you a limited, non-transferable, non-sublicensable, and revocable license to access and use the Platform and Services for your internal business or personal use, as applicable. You agree that:
- You will not reproduce, redistribute, or publicly display any part of the Platform or Services without prior written authorization from us.
- You will not modify, reverse engineer, decompile, or create derivative works based on any part of the Services.
- Your use will at all times comply with these Terms and applicable laws.
4.3 Responsibility for Your Account
You are entirely responsible for all activity that occurs through your account, whether initiated by you or by others who access the Services through your credentials.
We reserve the right to suspend or permanently disable access to any account if, in our judgment, you have violated these Terms or misused the Platform in any way. You agree to respond promptly to all communications from Propeller Global Ventures, especially those concerning account security, complaints, or violations.
You are also responsible for ensuring that anyone accessing the Services through your account understands and agrees to abide by these Terms. Your access to the Services is provided “as-is,” and we make no guarantee that the security of your password cannot be compromised. Use of the Services via your account is at your own risk.
4.4 Unacceptable Activities
You agree not to misuse the Platform or Services in any way that could compromise their integrity, legality, or availability. Specifically, you shall not:
- Use the Services in violation of any applicable laws, rules, or regulations, including infringement of intellectual property or privacy rights of third parties;
- Attempt to access any account, system, data, or network that you are not expressly authorized to access;
- Disrupt or interfere with the functionality, performance, or availability of the Platform, its servers, or connected networks;
- Deploy or facilitate attacks that could impair the Service, including but not limited to flooding, overloading, or spamming;
- Decompile, disassemble, reverse engineer, or otherwise attempt to derive source code or technical architecture of any part of the Services;
- Reproduce, adapt, or create derivative works from the Platform or any component thereof without our prior written consent;
- Use the Services for any commercial purposes unless explicitly authorized in writing by Propeller Global Ventures;
- Circumvent, disable, or tamper with any digital rights management, authentication, or access control measures implemented by the Platform;
- Transmit, upload, or store any content that is unlawful, defamatory, obscene, sexually explicit, abusive, threatening, harassing, or otherwise harmful or offensive;
- Disseminate or share any material that invades another individual’s privacy, including bodily privacy, or that discriminates based on race, ethnicity, gender, religion, or nationality;
- Share or promote information or content that undermines the sovereignty, integrity, or security of India, incites public disorder, promotes terrorism, or violates foreign relations;
- Publish or distribute knowingly false or misleading information with the intent to deceive, harass, defame, or defraud;
- Use the Services in a way that infringes on the legal rights of others, including privacy, publicity, and intellectual property rights;
- Upload or distribute malicious software, including viruses, worms, spyware, or trojans;
- Remove or obscure copyright notices, logos, trademarks, or other proprietary markings embedded in the Platform or associated content;
- Impersonate any individual, entity, or organization or misrepresent your affiliation with another party in any form;
- Harvest, scrape, or collect personal information of other users without proper legal basis or consent.
Violations of these restrictions may result in immediate suspension or termination of your access to the Services, and could lead to civil or criminal liability under applicable laws.
5.1 Payment and Non-Refundability All fees are non-refundable. Subscription renewals are automaticYou agree to pay all applicable charges for your use of the Services, as displayed on our Pricing Page or otherwise communicated to you at the time of subscription or engagement. These charges may include recurring subscription fees, usage-based costs, and applicable taxes.
Propeller Global Ventures reserves the right to modify pricing at its sole discretion. If we revise our rates, you will receive advance notice of at least 30 days, and the updated rates will take effect upon your next billing cycle or renewal. Continued use of the Services following a rate change indicates your acceptance of the new pricing.
All payments made to us are non-refundable. If you choose to discontinue use of the Services after payment, no partial or full refund shall be provided under any circumstances.
5.2 Subscription Management and Renewal Subscriptions may renew automatically unless canceled before the renewal date. You can manage or cancel your subscription through your account settings or by contacting support.
5.3 Third-Party Payment Processing All financial transactions are facilitated through secure, third-party payment gateways. When making a payment, you will be redirected to a platform operated by an authorized payment provider. You confirm that any credit/debit card, bank account, or digital wallet you use is valid and lawfully yours to operate.
Propeller Global Ventures does not collect, retain, or process your sensitive payment data. Your financial information is handled entirely by the payment processor and is governed by their privacy and security practices. We disclaim all liability for issues arising out of errors, breaches, or mismanagement on the part of the third-party provider.
5.4 Payment Authorization and Responsibility By submitting your payment credentials, you authorize the designated payment processor to charge your account for all applicable fees. You are solely responsible for ensuring that your payment method has sufficient funds and remains valid throughout your subscription.
Should a payment transaction fail for any reason, we reserve the right to suspend or terminate your access to the Services until the outstanding balance is resolved. We may request your cooperation in resolving any payment issues, including assisting with bank authorizations or verification procedures initiated by the gateway provider.
5.6 Payment Failures and Recovery If a scheduled or manual payment is declined, you will be notified and given a reasonable window to settle the dues. Continued failure to make payment may lead to service suspension or account termination. In such cases, you remain responsible for the outstanding balance.
Where applicable under Indian law, late fees or interest may be charged on overdue amounts. Additionally, if debt recovery involves legal action or the engagement of collection agents, you agree to reimburse all reasonable costs incurred during the recovery process.
6. Acceptable Use Policy
You agree to use the Services only for lawful purposes and in compliance with:
- Indian IT laws, including the Information Technology Act, 2000
- Do not misuse AI voices without consentTRAI regulations and Do Not Disturb (DND) requirements ub call lists against DND registries
- The Digital Personal Data Protection Act, 2023
- Guidelines on AI disclosures and consent for call recording, if applicable
Prohibited uses include spam, fraud, impersonation, harassment, hate speech, or promoting unlawful activity. You must not use AI-generated voices that mimic real individuals without legal consent.
7.1 Compliance Responsibilities
If you use our Services for outbound calls or SMS in India:
- You are responsible for ensuring compliance with TRAI and DND regulations.
- You must obtain and store consent before engaging users.
- You must provide opt-out mechanisms and honor them promptly.
- You must scrub call lists against national and internal DND registries at intervals prescribed by law.
- We reserve the right to audit your use and require proof of compliance.
8. Intellectual Property
All content is owned by Propeller. You may not copy, modify, or distribute it without permission.
You are granted a limited, non-exclusive, non-transferable license to use our Services as intended, but not to copy, modify, or distribute our IP.
9. Data Protection
Your use of our Services is subject to our Privacy Policy, which outlines how we collect, use, and store personal data. We implement reasonable security practices in line with ISO/IEC 27001 standards and Indian law. We comply with applicable Indian data protection laws and take reasonable steps to protect data under our control from unauthorized access or disclosure.
10. No Guarantees or Assurances
You understand and agree that your use of the Services is entirely at your own discretion and risk. The Platform and all associated features are provided on an “as is” and “as available” basis, without any form of representation, warranty, or guarantee — whether explicit or implied.
To the maximum extent permitted by law, Propeller Global Ventures Pvt. Ltd. specifically disclaims all warranties, including but not limited to:
- Implied conditions or assurances of merchantability, satisfactory quality, fitness for a specific purpose, and non-infringement;
- Commitments regarding uninterrupted service, real-time availability, or the absence of delays or downtime;
- Accuracy, timeliness, or completeness of any data or insights generated by the Platform;
- Compatibility with any particular device, operating system, or software environment;
- Protection against viruses, malicious code, or security vulnerabilities.
We make no promises that the Services will meet your expectations or that any results derived from them will be reliable, consistent, or error-free. Functionality may vary depending on external factors beyond our control, such as your internet connection or device settings. You are solely responsible for complying with all laws, regulations, and internal organizational policies when using the Platform.
11. Limitation of Legal Responsibility
To the extent allowed under Indian law, Propeller Global Ventures shall not be held accountable for any indirect, consequential, incidental, punitive, exemplary, or special losses, including but not limited to lost revenue, lost business opportunities, data corruption, diminished goodwill, or operational disruption — regardless of how such issues arise.
This limitation applies whether the claim is based on contract, tort (including negligence), statutory liability, or any other legal principle, and includes, but is not limited to, losses or damages resulting from:
- Service outages, interruptions, or delays;
- Technical glitches, bugs, or software errors;
- System or server downtime;
- Unauthorized access, data breaches, or cyber threats;
- Failures of third-party platforms or tools integrated with the Services;
- Communications errors, misconfigurations, or limitations of your own systems or devices.
We reserve the right to revoke or restrict your access to the Services immediately — without prior notice — if we reasonably believe your actions breach these Terms or applicable Indian law, including (but not limited to) the Information Technology Act, 2000, or if such action is deemed necessary for security, compliance, or operational integrity.
Cap on Liability: In any scenario, our total cumulative liability — regardless of cause — shall not exceed the higher of either the amount you have paid to us in the 12 months preceding the event giving rise to the claim or ₹10,000 (Rupees Ten Thousand only).
This cap on liability is intended to be fully enforceable to the extent permitted by law and shall continue to apply even after your use of the Services has ended.
12. Indemnification
You agree to indemnify and hold harmless Propeller Global Ventures, its officers, employees, and affiliates against any loss, damage, claim, or expense arising from:
- Your violation of these Terms
- Your misuse of the Services
- Your violation of applicable laws or third-party rights
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of India. In case of disputes:
- Efforts will be made to resolve matters amicably.
- Failing that, disputes will be referred to arbitration in Mumbai, as per the Arbitration and Conciliation Act, 1996.
- Courts in Mumbai shall have exclusive jurisdiction.
All proceedings shall be conducted in English, and the seat of arbitration shall be Mumbai, Maharashtra
14. Modifications
We may update these Terms at any time. Changes will be posted on this page with a revised effective date. Continued use after changes indicates your acceptance.
